Compliance requirements
The bidder must declare whether it, its management or supervisory body members, or persons authorised to represent, control or make decisions for it have relevant final convictions within the previous five years for participation in a criminal organisation, corruption, fraud, terrorist offences, money laundering or terrorist financing, or child labour and other forms of human trafficking. Grounds also include breaches of tax or social-security payment obligations; violations of environmental, social or labour law; bankruptcy, insolvency, liquidation, an arrangement with creditors, assets managed by a liquidator or court, suspended business activity or a similar situation; serious professional misconduct; agreements that distort competition; an unmanageable conflict of interest; involvement in preparing the procurement where an unfair advantage cannot otherwise be remedied; serious or repeated failure to perform previous contracts resulting in early termination, damages or comparable sanctions; and false, withheld or misleading information, failure to provide requested documents, or attempts to obtain confidential information or improperly influence the contracting authority.
Exclusion grounds also include enabling a foreign national to work without a legal basis or in breach of applicable employment conditions, being subject to an international sanction, or being ineligible under applicable participation restrictions. The bidder must confirm that entering into the contract would not breach international or Estonian sanctions. A bidder established or resident in Russia or Belarus is not permitted to participate. The bidder must also confirm that it will not use subcontractors or suppliers for more than 10% of the contract value if they are Russian nationals, residents or entities, are more than 50% owned by such persons or entities, or act on their behalf or under their direction. An offer must be rejected if the resulting contract would be void under applicable sanctions law. Where permitted by law or the procurement documents, the bidder may provide evidence of measures taken to restore its reliability if an exclusion ground applies.
Qualification criteria and exclusion grounds
The requirements apply separately to each lot:
- Lot 1, permanent exhibition: the bidder’s average net turnover over the last three financial years completed by the start of the procurement must be at least EUR 500,000.
- Lot 2, exhibition area for young children: the corresponding average net turnover must be at least EUR 200,000. The specified period for both turnover requirements is 1 January 2022 to 1 June 2026.
- For each lot, the bidder must have completed at least one comparable contract during the 60 months before the procurement began. The minimum value, excluding VAT, is EUR 500,000 for Lot 1 and EUR 100,000 for Lot 2. Comparable work includes manufacturing or supplying furniture or furnishings with installation, or creating a temporary or permanent exhibition, or part of one, in a museum or another building or institution in public use, including manufacturing, supplying and installing exhibits. Only work completed and accepted by the client during the reference period counts. The bidder must provide a list of contracts with their dates, client details, value and a brief description. The contracting authority may request further information or contact the client. A bidder relying on another entity’s capacity must identify that entity and, if requested, provide its consent confirming that the capacity is available and that the entity will participate directly in the contract performance.
The bid must be unconditional and comply with the procurement documents. Prices must follow the required structure and be entered in the buyer’s price breakdown form; the total excluding VAT entered in the procurement system must match the form total. The bidder must include the cost of all work described in the price breakdown and be prepared to perform that work even if an individual price field is left blank or entered as zero or a negative amount. Joint bidders must appoint an authorised representative and provide a power of attorney. Any information designated as a trade secret must be identified and the designation justified; prices and evaluation-related figures may not be designated as trade secrets. Where an equivalent solution is offered, its equivalence must be explained and supported with evidence.
Bid security is required: EUR 10,000 for Lot 1 and EUR 2,000 for Lot 2. It must be provided as a bank or insurer’s guarantee or by depositing the required sum, and must remain valid for at least the bid validity period. Evidence of the security must accompany the bid. The bidder must provide the names and personal identification codes of authorised persons not identifiable from the commercial register, or confirm that there are no such persons.
For both lots, the warranty must be at least 24 months for installed electronic equipment and at least 36 months for the remaining work. Compatible spare parts or functionally equivalent components must be available for at least 36 months after handover, and contact details for ordering them must be provided at handover. Furniture must be made using legally sourced timber. At handover, the bidder must provide traceable evidence of its origin, such as FSC, PEFC, CSA or SFI certification, a relevant FLEGT or CITES licence, or equivalent documentation. For uncertified timber, the bidder must identify the species, quantities and origin and confirm its legality. REACH candidate-list substances present in a product, component or material above 0.1% by weight must be declared, and evidence of their presence or absence must be provided at handover. The exhibition must be dismantlable without damage and its parts replaceable using ordinary hand tools by an untrained person; clear dismantling and repair instructions identifying replaceable parts must be supplied at handover.
The contractor must maintain professional liability insurance during the works and warranty period, covering liability to the buyer and third parties for work-related risks and damage, with coverage of EUR 127,000 and a maximum deductible of EUR 5,000. The insurance policy must be provided within 10 days of contract signature and remain in force until the warranty period ends. Its cost must be included in the bid price. The contractor must also protect the work and materials during transport and insure them where necessary.
