Compliance requirements
The bidder must confirm that neither it nor its management, administrative or supervisory body members, procurists, or other persons with control or representation powers have been finally convicted during the last five years of participation in a criminal organisation, corruption, fraud, a terrorist offence, money laundering or terrorist financing, or offences involving the illegal use of child labour or human trafficking. Exclusion may also apply because of a serious breach of previous contracts, serious professional misconduct, agreements restricting competition, a conflict of interest, involvement in preparing the procurement, false information, failure to provide required information or documents, or obtaining confidential information.
The bidder must not have outstanding tax or social security payment obligations, be bankrupt, be subject to liquidation or other insolvency proceedings, have an agreement with creditors, have suspended business activities, or have assets administered by a liquidator or court. Breaches of environmental, social or labour law obligations and enabling an unlawfully staying foreign national to work in Estonia are also relevant.
The bidder must confirm that awarding the contract would not breach international or Estonian sanctions. More than 50% of the bidder's ownership must not be held directly or indirectly by Russian citizens, residents of Russia or entities established in Russia. The bidder must not act as a representative of such a person or entity or follow their instructions, and the share of prohibited-origin subcontractors, suppliers or relied-upon entities must not exceed 10% of the contract value. The contracting authority may request additional evidence concerning ownership, beneficial owners, representatives, subcontractors and suppliers. Where an exclusion ground applies, evidence of remedial measures may be submitted in certain circumstances.
Qualification criteria and exclusion grounds
The bidder must have completed at least one compliant contract for teaching Estonian as a foreign or second language to adults during the 36 months preceding the commencement of the procurement. The submission must include the contract description, value, dates, contracting authority and contact person details, and, where available, the procurement reference number.
The contract team must include a project manager with higher education, native-level Estonian or at least C1 Estonian proficiency, and at least 24 months of project management experience during the five years preceding the commencement of the procurement. The team must include at least four teachers. Each teacher must have the required teaching qualification or a bachelor's or master's degree in philology, humanities or educational sciences, at least one continuing education course supporting the teaching of Estonian completed during the last ten years, and at least 12 months of experience teaching Estonian to an adult group during the last ten years. Overlapping periods of work or teaching are not counted twice.
The tender must include CVs for the project manager and all teachers, together with documents proving their education, qualifications and continuing education. The bidder must also provide the list of team members and their roles, a tender description based on the form in Annex 7, the digitally signed form in Annex 2, and the pricing form in Annex 3. Conditional tenders and alternative solutions are not permitted.
The bidder must provide the addresses of the training premises listed in the timetable. If the premises are neither owned by nor held under a long-term use agreement by the bidder, a confirmation from the provider of the premises must be submitted, confirming availability until 31 August 2028 inclusive. If the tender is signed by someone other than the statutory representative, a power of attorney must be included. In a joint tender, a joint tenderers' power of attorney must be submitted. The tender price must be provided in the required structure and using the form in Annex 3.
